Agreement Between User and Business Asset Monitor

Welcome to Business Asset Monitor. By accessing or using the BAM service, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not use our service.

BAM is a Software-as-a-Service (SaaS) product that helps you monitor, organize, and track your business assets. You must have an active Google account and grant the necessary permissions for the service to function.

If you are using BAM on behalf of a business or organization, you confirm that you have the authority to bind that entity to these Terms.


Your Account Responsibilities

You are responsible for maintaining the confidentiality of your BAM account credentials and any activity under your account. You are also responsible for the security of your Google account. BAM is not liable for unauthorized access to your Google Drive or Google Calendar if your Google account is compromised.

You must provide accurate information when creating an account and promptly update it when it changes. If you suspect unauthorized access to your BAM account or your connected Google account, notify our support team immediately to protect your content.

You may not assign or transfer your account to any other person or entity. BAM is not responsible for third-party access to your account due to theft or misappropriation of your account credentials.


Use of the Service

You may upload business assets to your Google Drive, create calendar events in your Google Calendar, store encrypted credentials, and manage your subscription data for lawful purposes. Assets uploaded through BAM are stored directly in your Google Drive account. You are responsible for ensuring you have sufficient Google Drive storage space.

Calendar events and reminders created through BAM are added to your Google Calendar account. You can edit or delete these events at any time via Google Calendar. Credentials stored in BAM are encrypted and stored securely. You are responsible for maintaining the security of your BAM account to protect access to these credentials.

You agree not to reverse engineer, probe for vulnerabilities, or interfere with BAM infrastructure or Google API integrations. You may not use the service in a way that could damage, disable, overburden, or impair the service or interfere with any other party’s use.

BAM reserves the right to suspend or terminate access if activity threatens system stability, violates these Terms, or violates Google’s terms of service.


Subscriptions & Billing

BAM is a SaaS product that requires an active subscription to access the service. Subscription plans renew automatically each billing cycle (monthly or annually) unless canceled from your account settings before the renewal date.

All subscription fees are non-refundable except where required by law. Downgrades or cancellations take effect at the end of the current billing period. If your subscription expires or is canceled, you will have a grace period (typically 30 days) to access and export your data before it is permanently deleted from BAM’s systems.

Taxes or duties mandated by your jurisdiction are your responsibility. BAM reserves the right to refuse or cancel service, terminate accounts, or remove or edit content at its sole discretion.


Google Services & Third-Party Integrations

BAM integrates with Google Drive and Google Calendar through Google’s APIs. Your use of these Google services is subject to Google’s Terms of Service and Privacy Policy. You are responsible for maintaining access to your Google account.

If you revoke BAM’s access to your Google account, or if your Google account is suspended or terminated, BAM’s ability to upload files to your Google Drive or create events in your Google Calendar will be disabled. BAM does not store copies of files uploaded to your Google Drive or events created in your Google Calendar.

You can revoke BAM’s access to your Google account at any time via your Google account settings. This will disable Google Drive and Calendar features in BAM but will not affect your encrypted credentials stored in BAM.


Content Ownership & License

You retain full ownership of all assets uploaded to your Google Drive account through BAM. These files are stored in your Google Drive and are subject to Google’s terms. You also retain full ownership of all calendar events created in your Google Calendar account.

You retain ownership of your encrypted credentials stored in BAM. BAM only processes and stores this data to provide the credential management service. You grant BAM a limited, revocable license to access your Google Drive and Google Calendar (via OAuth) and to store your encrypted credentials solely to provide the requested features.

BAM may anonymize usage patterns to improve product performance and reliability. All content included as part of the Service, such as text, graphics, logos, and software, is the property of BAM or its suppliers and is protected by copyright and intellectual property laws.


Service Availability

BAM strives for 99.9% uptime with redundant infrastructure and proactive monitoring. However, BAM’s availability depends on the availability of Google Drive and Google Calendar services. BAM is not liable for service interruptions caused by Google service outages.

Planned maintenance will be communicated in advance whenever possible. BAM is not liable for outages caused by factors outside its control, such as force majeure events, Google service failures, or upstream provider failures.


Limitation of Liability

To the maximum extent permitted by law, BAM is not liable for indirect, incidental, or consequential damages. BAM’s total liability for any claim is limited to the amount you paid in the 12 months preceding the event giving rise to the claim.

BAM is not liable for any loss of data stored in your Google Drive or Google Calendar accounts, as this data is managed by Google and subject to Google’s terms. BAM’s services, products, and information may contain inaccuracies, and changes may periodically be added.


Termination

You may stop using BAM and cancel your subscription at any time from your account settings. After subscription cancellation, you will have a grace period (typically 30 days) to access and export your encrypted credentials and other BAM account data before it is permanently deleted.

Files in your Google Drive and events in your Google Calendar will remain in your Google account and are not affected by BAM account termination. BAM reserves the right, at its sole discretion, to terminate your access to the service or any portion thereof at any time, without notice, for violations of these Terms or suspected fraudulent activity.


Changes to Terms

BAM reserves the right, at its sole discretion, to change these Terms at any time. The most current version of the Terms will supersede all previous versions. BAM encourages you to periodically review the Terms to stay informed of any updates.
